Terms of Service

1. Agreement to Terms

By accessing or using the services of Trade-IQ, LLC ("Trade-IQ," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access our services.

2. Services Provided

Trade-IQ provides international trade compliance consulting services, including but not limited to:

• Fractional trade compliance leadership and support
• Managed trade services and operations
• Compliance audits and assessments
• Harmonized System (HS) code classification
• Duty mitigation and optimization strategies
• Trade compliance training and education
• Regulatory advisory and consultation

Our services are advisory in nature and do not constitute legal advice. Clients remain responsible for their compliance obligations and decision-making.

3. Client Responsibilities

As a client of Trade-IQ, you agree to:

• Provide accurate, complete, and timely information necessary for service delivery
• Maintain the confidentiality of your account credentials
• Comply with all applicable laws and regulations
• Pay all fees and charges in accordance with agreed payment terms
• Cooperate with reasonable requests for information or documentation
• Notify us promptly of any issues or concerns

4. Intellectual Property Rights

All content, materials, and intellectual property created or provided by Trade-IQ, including but not limited to reports, analyses, methodologies, tools, and documentation, remain the property of Trade-IQ unless otherwise agreed in writing.

Clients retain ownership of their proprietary information and data provided to Trade-IQ. We will treat such information as confidential and use it solely for the purpose of providing our services.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation survives the termination of these Terms.

Exceptions to confidentiality include information that:

• Is or becomes publicly available through no breach of these Terms
• Is rightfully received from a third party without confidentiality obligations
• Is required to be disclosed by law or court order
• Is independently developed without use of confidential information

6. Payment Terms

Payment terms will be specified in individual service agreements or statements of work. Unless otherwise agreed:

• Invoices are due within 30 days of receipt
• Late payments may incur interest charges at 1.5% per month or the maximum rate permitted by law
• We reserve the right to suspend services for overdue accounts
• All fees are non-refundable unless otherwise specified

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADE-IQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall Trade-IQ's aggregate liability exceed the amount paid by the client for the specific service giving rise to the claim during the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. We do not guarantee any specific results from the use of our services.

9. Indemnification

You agree to indemnify, defend, and hold harmless Trade-IQ, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

• Your access to or use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Any misrepresentation or breach of your obligations

10. Termination

Either party may terminate the service relationship with 30 days written notice. We reserve the right to terminate or suspend services immediately for:

• Breach of these Terms
• Non-payment of fees
• Illegal or fraudulent activity
• Behavior that is harmful to our business or reputation

Upon termination, all outstanding fees become immediately due and payable.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms shall first be subject to good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified to clients with at least 30 days notice. Continued use of our services after such modifications constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with any individual service agreements or statements of work, constitute the entire agreement between you and Trade-IQ regarding our services and supersede all prior agreements and understandings.
